• The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice.
• If negotiation fails, the dispute shall be submitted to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules in effect at the time.
• The arbitration shall be conducted in English and take place in Hong Kong.
• The arbitral award shall be final and binding on both parties.
